1. Acceptance of Terms
By accessing or using CODEXON's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
CODEXON provides digital marketing services including but not limited to SEO, PPC advertising, social media marketing, content marketing, web design, and marketing analytics. The specific services provided will be outlined in individual service agreements.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Grant necessary access to accounts and platforms
- Review and approve content in a timely manner
- Make timely payments as agreed
- Comply with all applicable laws and regulations
4. Payment Terms
Payment terms will be specified in your service agreement. Generally, invoices are due within 30 days of receipt. Late payments may incur additional fees and may result in service suspension.
5. Intellectual Property
Upon full payment, you will own the deliverables created specifically for your project. CODEXON retains ownership of all proprietary tools, methodologies, and pre-existing materials. We reserve the right to showcase completed work in our portfolio unless otherwise agreed.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of services.
7. Limitation of Liability
CODEXON's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, special, or consequential damages.
8. Termination
Either party may terminate services with 30 days written notice. In case of material breach, termination may be immediate. Upon termination, you remain responsible for payment of services rendered.
9. Dispute Resolution
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
